GymBud Terms of Service

These Terms of Service govern your access to and use of GymBud, including our websites, mobile applications, software, support tools, payment flows, onboarding experiences, and related services.

GymBud is operated by Onboarding Solutions, Inc. By accessing or using GymBud, you agree to these Terms. If you do not agree, do not use the platform.

1. Eligibility

GymBud is intended for users who are at least 18 years old and have legal capacity to enter into a binding agreement. We do not knowingly allow minors to create accounts.

2. GymBud's Role

GymBud is a technology platform. We help independent fitness professionals manage students, programs, payments, communications, classes, check-ins, reports, and related business workflows.

GymBud is not a fitness provider, medical provider, financial institution, payment institution, broker, employer, agent, or representative of any Personal or aluno.

3. Personal and Aluno Relationship

Fitness services are provided by the Personal, not by GymBud. Any agreement about coaching services, training expectations, cancellations, refunds, attendance, plan terms, or service quality exists between the Personal and the aluno.

GymBud may facilitate software access, communication, payment initiation, and records, but GymBud does not supervise the Personal's services or guarantee outcomes.

4. Fitness and Health Disclaimer

GymBud does not provide medical advice, diagnosis, treatment, or emergency services. Workouts, check-ins, progress metrics, classes, suggestions, analytics, and AI-assisted outputs are informational tools only.

Exercise involves risk. Each user is responsible for deciding whether an activity is appropriate for their health and should consult a qualified medical professional before starting or changing a training program.

5. Payments, Subscriptions, and Refunds

Payments between alunos and Personais may be facilitated through third-party providers such as Stripe or Asaas. GymBud does not hold or control aluno funds for coaching services and is not the seller of the Personal's services.

The Personal is responsible for service pricing, service delivery, cancellations, refunds, chargeback support, tax obligations, and disputes with alunos unless applicable law says otherwise.

GymBud does not refund subscriptions or payments charged by a Personal to an aluno. GymBud fees, platform fees, processing-related fees, and subscription fees paid for GymBud access are non-refundable except where required by law or expressly agreed by GymBud in writing.

6. Third-Party Payment Providers

Stripe, Asaas, banks, card networks, Pix, boleto providers, app stores, and other payment partners may apply their own rules, fees, processing timelines, dispute processes, reversals, or account restrictions.

GymBud is not responsible for payment provider downtime, reversals, blocked payouts, failed payment methods, chargebacks, or provider decisions outside GymBud's direct control.

7. Content and License

Personais and alunos keep ownership of content they submit, including training content, messages, check-in responses, photos, documents, notes, workouts, and related records.

You grant GymBud a limited license to host, process, display, transmit, analyze, and use that content as needed to operate, secure, support, and improve the platform.

GymBud may use aggregated, de-identified, or anonymized training content and usage patterns to improve analytics, recommendations, automation, safety systems, and future AI features. GymBud will not use identifiable private student content for external AI training without a separate lawful basis or permission.

8. Acceptable Use

You may not misuse GymBud, scrape or resell data, reverse engineer the platform, access accounts without authorization, upload illegal or harmful content, misrepresent identity or credentials, harass others, interfere with security, or use GymBud in a way that violates law or another person's rights.

9. Integrations and Data Exports

GymBud may support integrations requested by a Personal or authorized organization. Integrations are limited to the data scope approved for that integration and may be suspended if they create security, privacy, legal, cost, or abuse risk.

A Personal or integration provider remains responsible for how exported data is used, protected, retained, and deleted after it leaves GymBud's systems.

10. Suspension and Termination

GymBud may suspend, limit, or terminate access to the platform when we believe it is necessary for security, legal compliance, payment risk, abuse prevention, policy enforcement, or platform integrity.

11. Disclaimers and Limitation of Liability

GymBud is provided as is and as available. To the maximum extent permitted by law, GymBud disclaims warranties and is not liable for fitness outcomes, injuries, service disputes, lost income, indirect damages, or issues caused by Personais, alunos, payment providers, app stores, integrations, or third-party services.

To the maximum extent permitted by law, GymBud's total liability is limited to the GymBud platform fees paid to GymBud by the affected user in the twelve months before the event giving rise to the claim.

12. Changes to These Terms

GymBud may update these Terms. Material changes may require renewed acceptance in the product. Continued use after an update means you accept the updated Terms.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, unless mandatory local law requires otherwise.
